声明函 Statement Letter

致各位客户、供应商、经销商及所有合作伙伴： To: All Customers, Suppliers, Distributors, and Partners
现就康斐尔过滤设备（太仓）有限公司（下称“康斐尔公司”）与相关方经销关系终止及近期相关不当行为、不实言论事宜，郑重声明如下：Regarding the expiration of Camfil Filtration (Taicang) Co., Ltd.'s ("Camfil") distribution relationship with certain former partners and recent related misconduct and misinformation, we hereby state as follows for the record:
康斐尔公司与广汇和（辽宁）科技有限公司（原大庆广汇和科技有限公司）、香港漢衛科技有限公司、四川省川和科技有限公司、四川省川和环境技术有限公司（以下统称“前述原经销商”）之间的《经销协议》，已于2025年12月31日因协议约定期限届满自然终止。（下称“协议”）The Distributor Agreement between Camfil and Guanghuihe (Liaoning) Technology Co., Ltd. (formerly Daqing Guanghuihe Technology Co., Ltd.), Hong Kong Hanwei Technology Co., Limited, Sichuan Chuanhe Technology Co., Ltd., and Sichuan Chuanhe Environmental Technology Co., Ltd. (hereinafter collectively referred to as the "Former Distributors") expired on December 31, 2025. (the “Agreement”)
《经销协议》终止后，各方基于该协议项下的全部权利义务关系即时终结。自2025年12月31日起，除专项存续项目的特殊约定外，前述原经销商与康斐尔公司不再存在代理关系及授权关系，原经销商无权再以康斐尔公司“经销商”“授权代理”等名义开展商业活动或对外作出相关宣称，康斐尔公司也不会再与前述原经销商达成除专项存续项目以外的任何其他合作。为免疑义，对于原经销商与康斐尔公司在本函件发布前已签署的合同，康斐尔公司将秉持诚实信用原则继续履行。Upon expiration of the Agreement, all rights and obligations of the parties thereunder ceased immediately and in their entirety. Effective December 31, 2025, except as otherwise provided with respect to specific ongoing special projects, the Former Distributors shall have no agency or authorization relationship whatsoever with Camfil and are strictly prohibited from conducting any commercial activities or making any representations under the titles of "Distributor" or "Authorized Agent" of Camfil.Camfil will not enter into any other form of cooperation whatsoever with the Former Distributors, save for the specific ongoing special projects. For the avoidance of doubt, Camfil will continue to perform the contracts already signed with the Former Distributors prior to the issuance of this letter in accordance with the principle of good faith.
自本声明发布之日起，任何公司、机构或个人如再接收到前述四家原经销商以其仍系康斐尔公司“经销商”“授权代理”等名义进行的商业接洽、项目推介或相关主张，敬请务必保持高度警惕。为避免因信息不对称导致误解或产生不必要的法律风险，建议您及时通过康斐尔公司官方渠道核实相关信息，切勿轻信、认同或支持其任何相关主张，亦请勿委托其办理任何以康斐尔公司名义开展的事务，避免因信息不对称产生误解、遭受损失或承担不必要的法律风险。Upon the issuance of this Statement, any company, institution, or individual that receives any further business approaches, project proposals, or related representations from the aforementioned four Former Distributors purporting to act as a "Distributor" or "Authorized Agent" of Camfil is strongly advised to exercise heightened vigilance. To avoid misunderstandings or unnecessary legal exposure arising from information asymmetry, we recommend that you promptly verify the relevant information through Camfil's official channels. Please refrain from relying upon, endorsing, or supporting any such claims, and do not entrust them with any matters to be conducted in the name of Camfil, so as to prevent misunderstandings, losses, or the assumption of unnecessary legal risks resulting therefrom.
同时，针对近期前述四家原经销商出现的针对康斐尔公司的商业诋毁、不实言论等不当行为，敬请各方同样保持高度警惕，如遇相关情况，请及时通过康斐尔公司官方渠道核实信息，切勿轻信、传播不实信息。若有条件，敬请妥善保留相关证据（包括但不限于沟通记录、宣传材料、录音录像等），并及时与本公司取得联系，协助康斐尔公司维护自身合法权益，共同营造公平、诚信、有序的商业环境。对于任何侵害本公司合法权益的行为，本公司将坚决运用法律武器，追究相关方的侵权责任，以维护自身的合法权益。Furthermore, with regard to recent improper conduct directed against Camfil by the aforementioned Former Distributors, including commercial disparagement and the dissemination of false statements, we respectfully request that all parties likewise maintain a heightened state of vigilance. Should you encounter any such circumstances, please promptly verify the information through Camfil's official channels and refrain from crediting or further disseminating any false information. Where feasible, we kindly request that you duly preserve relevant evidence (including but not limited to communication records, promotional materials, audio and video recordings, etc.) and contact Camfil in a timely manner to assist in protecting its legitimate rights and interests, thereby jointly fostering a fair, transparent, and orderly business environment. Camfil will resolutely pursue all available legal remedies against any party for acts that infringe upon its legitimate rights and interests and will hold such parties fully accountable for their tortious conduct.
